What a mandate contract should include

There is no single perfect template, but a solid mandate contract usually contains:

  1. Parties (client and contractor).
  2. Scope of tasks and how they will be performed.
  3. Remuneration and settlement method (hourly/lump‑sum).
  4. Duration and cooperation rules.
  5. Termination terms.
  6. Liability and any penalties.
  7. Tax and ZUS settlement rules.

Optional clauses worth adding

  • time tracking (when the minimum hourly rate applies),
  • confidentiality and data protection,
  • delivery/acceptance rules,
  • delegation rights (or a prohibition).

Common template mistakes

  • vague task description,
  • no termination rules,
  • missing settlement details,
  • using a generic template without tailoring.

Pre‑sign checklist

  • clear scope,
  • defined remuneration,
  • settlement method specified,
  • termination rules included,
  • ZUS/PIT responsibility clarified.

Scope and deliverables

Most disputes come from vague descriptions. Specify what exactly is to be done, deadlines, delivery format and acceptance rules.

Pay and settlement method

State clearly whether the settlement is hourly or lump‑sum. With hourly rates, define time tracking and payment dates. If the minimum rate applies, note it explicitly.

Attachments and time records

Useful attachments include a simple schedule, a reporting template, an acceptance protocol and a declaration of insurance status. This makes settlements easier and reduces disputes.

Suggested contract structure

A simple structure works best: parties, scope, pay and settlement, duration, liability, termination and final provisions. This makes risk review easier.

Data protection and confidentiality

If the contractor accesses data or know‑how, add confidentiality and data‑protection clauses. This reduces disputes and compliance risks.

Practical scenario

A company commissions social media support for 3 months. The contract lists concrete tasks (number of posts, reports), a monthly fee and acceptance rules. This makes settlement easy and limits disputes.

Pay: gross or net

The template should clearly state whether the amount is gross or net. Disputes often stem from different assumptions. The safest approach is to state a gross amount and describe how taxes and contributions are settled.

Liability and penalties

If contractual penalties are included, they should be proportionate and tied to specific breaches (e.g., delay in reporting). Vague penalties increase dispute risk.

IP transfer and confidentiality

If the mandate involves creative outputs (texts, graphics), add clauses on copyright transfer or licensing. This clarifies settlements and reduces reuse disputes.

Schedule and contact

For simple mandates a short schedule (e.g., weekly reports) and a contact person are enough. It keeps cooperation organized without heavy paperwork.
